Terms of Service for DataSetIQ Plugins

1. Acceptance of Terms

By installing, accessing, or using the DataSetIQ Excel Add-in or Google Sheets Add-on (the "Plugins"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Plugins. These Terms are in addition to and supplement the DataSetIQ Terms of Service that govern your use of the DataSetIQ platform.

2. Description of Service

The DataSetIQ Plugins enable you to access and insert economic data series from the DataSetIQ platform directly into Microsoft Excel and Google Sheets. The Plugins provide:

• Custom functions to fetch economic data (DSIQ, DSIQ_LATEST, DSIQ_VALUE, DSIQ_YOY, DSIQ_META)
• Search and browse functionality for data series
• Premium features including formula builder, templates, and multi-series insert (for paid subscribers)
• Data preview and metadata access

3. Account and API Key

3.1 Account Requirement

While basic functionality is available without an account, full access to the Plugins requires a valid DataSetIQ account and API key. You are responsible for maintaining the confidentiality of your API key and for all activities that occur using your key.

3.2 Free vs. Premium Access

• Free Users: Limited to 100 most recent observations per data series
• Premium Users: Access to 1,000 observations per series, plus additional features including formula builder, templates, and batch operations

4. Acceptable Use

4.1 Permitted Use

You may use the Plugins to:

• Access and analyze economic data for research, analysis, and business purposes
• Create reports, dashboards, and visualizations using DataSetIQ data
• Share spreadsheets containing Plugin formulas with others (they will need their own API key to refresh data)

4.2 Prohibited Use

You may NOT:

• Share your API key with others or use another person's API key
• Attempt to circumvent usage limits or access restrictions
• Use automated scripts or bots to make excessive API requests
• Reverse engineer, decompile, or disassemble the Plugins
• Redistribute or resell data obtained through the Plugins without proper licensing
• Use the Plugins for any illegal purpose or in violation of any applicable laws
• Interfere with or disrupt the Plugins or DataSetIQ services

5. Usage Limits and Rate Limiting

To ensure fair use and service stability, we impose the following limits:

• Data Limits: Free users: 100 observations per series; Premium users: 1,000 observations per series
• Rate Limits: API requests are subject to rate limiting. Excessive requests may result in temporary throttling or account suspension
• Metadata-Only Datasets: Some datasets may require explicit ingestion requests, subject to your plan limits

6. Data and Content

6.1 Data Accuracy

We strive to provide accurate and up-to-date economic data from authoritative sources. However, we do not guarantee the accuracy, completeness, or timeliness of any data. Data is provided "as is" without warranty.

6.2 Data Sources

Data is sourced from government agencies, central banks, and international organizations including FRED, BLS, BEA, IMF, OECD, World Bank, and others. Each source has its own terms of use and licensing requirements.

6.3 Attribution

When publishing or redistributing data obtained through the Plugins, you must provide appropriate attribution to the original data source as specified in the series metadata.

7. Intellectual Property

7.1 Plugin Ownership

The Plugins, including all code, design, functionality, and documentation, are owned by DataSetIQ and protected by copyright, trademark, and other intellectual property laws.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Plugins for your personal or internal business purposes, subject to these Terms.

7.3 User Content

You retain all rights to spreadsheets, reports, and analyses you create using the Plugins. However, you grant us permission to use aggregated, anonymized usage data to improve our services.

8. Privacy and Data Protection

Your use of the Plugins is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Plugins, you consent to our privacy practices.

9. Fees and Payment

Access to premium features requires a paid DataSetIQ subscription. Fees are subject to the pricing terms on our website. By upgrading to a premium plan:

• You authorize us to charge your payment method on a recurring basis
• Fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failure to pay may result in service suspension or termination

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Plugins may be unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Technical issues or system failures
• Actions by third-party platforms (Microsoft, Google)
• Circumstances beyond our reasonable control

11. Disclaimer of Warranties

THE PLUGINS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding accuracy, reliability, or completeness of data
• Warranties that the Plugins will be error-free or uninterrupted
• Warranties regarding security or absence of viruses or harmful components

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATASETIQ SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, data, revenue, or business opportunities
• Service interruptions or data loss
• Errors or inaccuracies in data
• Third-party claims arising from your use of the Plugins

Our total liability for all claims related to the Plugins shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless DataSetIQ and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Plugins, violation of these Terms, or infringement of any third-party rights.

14. Termination

14.1 By You

You may stop using the Plugins at any time by uninstalling them and deleting your API key.

14.2 By Us

We may suspend or terminate your access to the Plugins immediately, without notice, if:

• You violate these Terms or our policies
• Your account or API key is compromised
• You engage in fraudulent or abusive behavior
• We discontinue the Plugins (with reasonable notice)

14.3 Effect of Termination

Upon termination, your license to use the Plugins ends immediately. Provisions regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

15. Third-Party Platforms

The Plugins operate on Microsoft Excel and Google Sheets platforms, which have their own terms of service. You must comply with both our Terms and the applicable platform's terms. We are not responsible for any third-party platform policies, changes, or service interruptions.

16. Updates and Modifications

We may update the Plugins to add features, fix bugs, or improve performance. We may also modify these Terms at any time. Material changes will be communicated through the Plugins or via email. Continued use after changes constitutes acceptance of the updated Terms.

17. Governing Law and Disputes

These Terms are governed by applicable federal and state laws of the United States. Any disputes shall be resolved through:

• Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with applicable arbitration rules
• Class Action Waiver: You agree to resolve disputes individually, not as part of a class action

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and DataSetIQ Terms of Service, constitute the entire agreement regarding the Plugins.

18.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

18.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

18.4 Assignment

You may not assign these Terms without our consent. We may assign them to any affiliate or successor.
